Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the BGadi Health platform, operated by BGadi Health Technologies Private Limited ("BGadi Health", "we", "us", "our"). By registering an organization, creating a staff account, or otherwise using the platform, you agree to be bound by these Terms.

2. Description of Service

BGadi Health provides a multi-vertical healthcare management platform, including but not limited to: appointment scheduling, patient records management, billing and invoicing, pharmacy and lab module integration, staff management, and related administrative tools for hospitals, clinics, diagnostic labs, pharmacies, and other healthcare organizations ("Organizations").

3. Organization Accounts

• An Organization registering on the platform is responsible for the accuracy of the information it provides and for maintaining the confidentiality of its staff login credentials
• The Organization remains the data controller for all patient records entered into the platform; BGadi Health acts as a data processor providing the technical infrastructure
• Organizations are responsible for obtaining appropriate patient consent for data collection and processing in accordance with applicable law

4. Subscription & Billing

• Access to the platform is provided on a subscription basis, with plans and pricing as displayed on our Pricing page
• Subscription fees are billed in advance and are non-refundable except where required by law
• We reserve the right to change subscription pricing with reasonable notice; existing subscribers are typically grandfathered at their current rate for a transition period at our discretion
• Failure to pay subscription fees may result in restricted access to the platform until payment is received

5. Patient Billing & Payments

Where an Organization uses the platform to collect payments from its own patients (via its own connected payment gateway), BGadi Health is not a party to that transaction — the Organization is the merchant of record, and is responsible for its own compliance with applicable payment and consumer protection regulations.

6. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable healthcare regulation
• Attempt to gain unauthorized access to any part of the platform or other Organizations' data
• Interfere with or disrupt the platform's infrastructure or security
• Misrepresent your identity or organizational affiliation when registering

7. Doctor & Public Listings

Doctors listed on our public directory (whether self-registered or added by an Organization) consent to their professional information — name, specialization, qualifications, consultation fee — being displayed publicly to facilitate patient bookings. Listed doctors may request removal at any time.

8. Intellectual Property

The BGadi Health platform, including its software, design, and branding, is the property of BGadi Health Technologies Private Limited. Organizations retain full ownership of their own data (patient records, billing history, staff information) entered into the platform.

9. Limitation of Liability

The platform is provided "as is." While we take reasonable measures to ensure reliability and data security, BGadi Health is not liable for indirect, incidental, or consequential damages arising from platform use, including but not limited to data loss, service interruption, or third-party payment gateway issues, to the maximum extent permitted by applicable law.

10. Termination

We may suspend or terminate an Organization's access to the platform for breach of these Terms, non-payment of subscription fees, or unlawful use. Organizations may terminate their subscription at any time; data export options are available prior to account closure, subject to legal retention requirements.

11. Changes to These Terms

We may revise these Terms from time to time. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or use of the platform are subject to the exclusive jurisdiction of the courts of [to be published].
